WELCOME TO THE ENZYMIT PROTEIN STABILIZATION SERVER!

IMPORTANT- READ CAREFULLY: THESE ENZYMIT PROTEIN STABILIZATION SERVER TERMS OF SERVICE (THESE “TERMS OF SERVICE”) GOVERN YOUR ACCESS AND USE OF THE ENZYMIT PROTEIN STABILIZATION SERVER AVAILABLE AT: http://stabilize.enzymit.com (THE “ENZYMIT SOFTWARE”). IF YOU DO NOT AGREE TO THESE TERMS OF SERVICE OR ANY PART HEREOF, YOU MAY NOT ACCESS OR OTHERWISE USE THE ENZYMIT SOFTWARE.

OWNERSHIP

Enzymit, Inc. and its affiliates (“Enzymit”) and its licensors own and reserve all rights, title and interests in and to the Enzymit Software. You acknowledge that your rights to access and use the Enzymit Software are limited to those expressly granted by these Terms of Service. No other rights with respect to the Enzymit Software or any related intellectual property rights are granted or implied. Any use of the Enzymit Software by you contrary to the provisions of these Terms of Service shall be deemed a material breach by you of these Terms of Service.

The Enzymit Software is a tool designed to allow users to input protein sequences (“Protein Sequences”) and, in return, receive optimized recommendations for their expression and thermal stability (the “Results”). Without limiting the foregoing, Enzymit is, and shall be, the sole and exclusive owner of all right, title and interest (including without limitation all intellectual property rights therein) in and to the Results and Feedback (defined below).

YOU ACKNOWLEDGE AND AGREE THAT BY INPUTING A PROTEIN SEQUENCE INTO THE ENZYMIT SOFTWARE, (I) YOU DISCLAIM ANY EXCLUSIVE RIGHTS TO THE PROTEIN SEQUENCE OR ANY DATA RELATED THERETO; AND (II) ENZYMIT SHALL BE FREE TO ENGAGE IN ANY ACADEMIC RESEARCH OR COMMERCIAL WORK INVOLVING THE SAME PROTEIN, PROTEIN SEQUENCE AND/OR ANY DATA RELATED THERETO WITHOUT ANY CONSIDERATION TO YOU.

GRANT OF LICENSE

Subject to the terms and conditions of these Terms of Service, Enzymit hereby grants you a non-exclusive, non-sublicensable, non-transferable, non-assignable license to access the Enzymit Software and utilize the Results generated by the Enzymit Software for any academic research and commercial purposes (the “License”). For the avoidance of doubt, the Enzymit Software and the Results are only licensed. Any rights not expressly granted herein are hereby reserved by Enzymit and its licensors, and, except for the License, you are granted no other right or license to the Enzymit Software and to the Results, whether by implied license, estoppel, exhaustion, operation of law, or otherwise.

RESTRICTIONS AND LIMITATIONS ON USE OF THE ENZYMIT SOFTWARE

Except as permitted by Section 2 (Grant of License), you will not and will not allow a third party to: (i) (a) commercially exploit the Enzymit Software by licensing, sublicensing, selling, reselling, transferring, assigning or distributing the Enzymit Software or otherwise making it available to any third party in any way; (b) except as permitted by applicable mandatory law or third party license, copy, distribute, present publicly, modify, translate, enhance, or create derivative works from the Enzymit Software, or reverse assemble or disassemble, reverse engineer, decompile or otherwise attempt to derive source code from the Enzymit Software; (c) use the Enzymit Software to store or transmit any viruses, worms, time bombs, trojan horses and other malicious code, files, scripts, agents or programs; or (d) use the Enzymit Software in order to develop or offer a similar solution that competes with the Enzymit Software.

SUSPENSION

Enzymit reserves the right to temporarily suspend provision of the Enzymit Software services: (a) if Enzymit deems such suspension necessary as a result of your breach under Section 3 (Restrictions and Limitations on Use of the Enzymit Software); (b) if Enzymit reasonably determines suspension is necessary to avoid material harm to Enzymit, or to the Enzymit Software services, including if the Enzymit Software’s cloud infrastructure is experiencing denial of service attacks or other attacks or disruptions outside of Enzymit’s control, or (c) as required by law or at the request of governmental entities.

FEEDBACK

As a user of the Enzymit Software, you may provide Enzymit with suggestions, ideas, enhancement requests, or recommendations related to Enzymit Software (“Feedback”). All Feedback about Enzymit Software provided by you are and shall remain the sole and exclusive property of Enzymit. Feedback shall not be considered your intellectual property or trade secret information. Enzymit may freely use, profit from, disclose, publish, or otherwise exploit such Feedback. For clarity, Enzymit shall be free to use Feedback in the further development of its products, services, and technologies without obligation of any kind to you.

NO WARRANTY

THE ENZYMIT SOFTWARE AND THE RESULTS ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESSED OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. YOU EXPRESSLY ACKNOWLEDGE THAT ENZYMIT DOES NOT REPRESENT OR WARRANT THAT THE OPERATION OF THE ENZYMIT SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE OR THAT THE ENZYMIT SOFTWARE WILL OPERATE AS INTENDED OR AT ALL, AND THAT THE USE OF THE ENZYMIT SOFTWARE AND/OR THE RESULTS SHALL BE ENTIRELY AT YOUR OWN RISK.

LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ENZYMIT, ITS LICENSORS, AFFILIATES, SHAREHOLDERS, DIRECTORS, OFFICERS, EMPLOYEES, CONSULTANTS AND AGENTS ) “ENZYMIT INDEMNIFIED PARTIES”) BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES OR FOR ANY LOSS OF PROFITS, LOSS OF BUSINESS OR REVENUE, LOSS OR INACCURACY OF INFORMATION OR DATA, COST OF RECOVERING SOFTWARE OR DATA, LOSS OF USE, OR COST OF PROCUREMENT OF SUBSTITUTE GOODS, SERVICES, OR TECHNOLOGY, OR WORK DELAYS INCURRED BY YOU OR ANY THIRD PARTY, HOWEVER CAUSED, WHETHER IN AN ACTION OR CLAIM ARISING IN CONTRACT, WARRANTY, TORT, NEGLIGENCE, PRODUCT LIABILITY, STRICT LIABILITY, OR ANY OTHER CAUSE OF ACTION OR CLAIM ARISING FROM OR RELATED TO THESE TERMS OF SERVICE, THE ENZYMIT SOFTWARE, THE RESULTS OR OTHERWISE, AND WHETHER OR NOT YOU HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

INDEMNIFICATION

You agree to defend, indemnify and hold harmless Enzymit and the Enzymit Indemnified Parties from and against any and all third-party claims (including any and all liabilities, damages, losses, costs, expenses, and reasonable attorneys’ fees arising therefrom) caused by, arising out of or related to (i) your violation of any applicable law or any rights of any third-party; (ii) any act or omission by you which is a breach of your obligations under these Terms of Service or any other applicable terms, policies, warnings or instructions provided by Enzymit; and (iii) any Feedback you provide.

PRIVACY POLICY

Enzymit, Inc. and its affiliates (“Enzymit”) are committed to protecting your privacy. This Privacy Policy describes how Enzymit collects, uses, stores, and discloses information in connection with your use of the Enzymit Software.

1. Information Collected

Enzymit collects the following categories of information when you access or use the Enzymit Software: (i) Email Address – collected upon registration or access to the Enzymit Software; (ii) Usage Data – including logs of all activity within the Enzymit Software; (iii) Protein Sequences and Results – including all protein sequences submitted by you and all results generated by the Enzymit Software; and (iv) Technical Information – including, without limitation, IP address, device information, browser type, and operating system.

2. Use of Information

The information collected may be used by Enzymit for the following purposes: (a) to operate, maintain, and improve the Enzymit Software; (b) to provide you with the Results and services you request; (c) to conduct academic and commercial research and development activities; (d) to monitor, secure, and analyze the performance and use of the Enzymit Software; (e) to communicate with you regarding service updates, support, or administrative notices; and (f) to comply with applicable laws, regulations, and enforce Enzymit’s rights under these Terms of Service.

Enzymit may disclose collected information: (i) to its employees, affiliates, consultants, and contractors who require such information in order to operate or improve the Enzymit Software; (ii) to third-party service providers engaged to provide hosting, analysis, or security services; (iii) as required by applicable law, regulation, legal process, or governmental request; and (iv) in connection with any merger, acquisition, reorganization, or sale of assets of Enzymit. Enzymit does not sell your personal information to third parties.

4. Data Retention

Enzymit will retain email addresses, activity records, Protein Sequences, and Results for as long as reasonably necessary to operate the Enzymit Software, comply with applicable laws, resolve disputes, and enforce its agreements.

5. Security

Enzymit implements reasonable administrative, technical, and organizational safeguards designed to protect collected information from unauthorized access, loss, misuse, or disclosure. Notwithstanding, you acknowledge and agree that no security measures are absolute, and Enzymit does not guarantee the complete security of any information.

6. Your Rights

Subject to applicable law, you may have the right to: (i) request access to, or a copy of, the personal information that Enzymit holds about you; (ii) request correction or deletion of such personal information; (iii) object to or restrict the processing of such personal information; or (iv) withdraw your consent where processing is based on consent. To exercise such rights, you may contact Enzymit at info@enzymit.com. Enzymit will use reasonable efforts to respond in accordance with applicable law.

7. International Transfers

You acknowledge and agree that your information may be transferred to, and stored and processed in, jurisdictions outside of your country of residence, including Israel and other locations where Enzymit and its service providers operate.

8. Changes to this Privacy Policy

Enzymit reserves the right to update or modify this Privacy Policy at any time. Any changes will be posted on http://stabilize.enzymit.com with a revised “Last Updated” date. Your continued use of the Enzymit Software following such changes shall constitute your acceptance of the updated Privacy Policy.

GOVERNING LAW AND JURISDICTION

These Terms of Service shall be governed and construed in accordance with the laws of the State of Israel without giving effect to any conflict or choice of law provisions. You and Enzymit consent to the exclusive jurisdiction and venue of the competent courts of Tel Aviv, Israel, for all disputes arising out of or relating to these Terms of Service. Notwithstanding, Enzymit may seek injunctive relief in any court of competent jurisdiction.
